1. Acceptance of Terms
By accessing or using CloudWise's services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
CloudWise provides cloud computing, IT management, artificial intelligence integration, automation, and related technology services to businesses ("Services"). The specific features and functionality of the Services may change from time to time.
3. User Accounts
To access certain features of our Services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
When creating an account, you agree to provide accurate, current, and complete information. We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete.
4. User Responsibilities

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of CloudWise or its licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for their intended purposes. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
7. User Content
You retain ownership of any content you submit, post, or display through our Services ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, and distribute your User Content in connection with providing and improving our Services.
You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate the rights of any third party or any applicable laws.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLOUDWISE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING OUR SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless CloudWise and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of a third party
- Your User Content
11. Term and Termination
These Terms remain in effect until terminated by either you or us. You may terminate these Terms at any time by ceasing to use our Services and closing your account, if applicable.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
You agree to submit to the personal and exclusive jurisdiction of the courts located in Ontario, Canada, for the resolution of any disputes arising from these Terms or your use of the Services.
13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website before the changes become effective. Your continued use of the Services after the effective date of such changes constitutes your acceptance of the modified Terms.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CloudWise regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.
